This Disclaimer applies to all reports, data, and information provided through the ChinaCheck platform at www.china-check.com (the “Platform”), operated by Galaxy Digital Technology Limited, a company incorporated in Hong Kong SAR (“Company”, “we”, “us”, or “our”).

1. Informational Purposes Only

All reports and information provided through the Platform are for general informational and reference purposes only. They are intended to assist Users in business identification, know-your-customer (KYC) onboarding, counterparty verification, and preliminary due diligence. Reports do not constitute and shall not be construed as legal advice, financial advice, investment advice, tax advice, or any other form of professional advice.

2. Data Sources and Accuracy

1. Reports are generated based on publicly available records maintained by competent Chinese government authorities, including but not limited to the State Administration for Market Regulation (SAMR), the National Enterprise Credit Information Publicity System (NECIPS), and the People’s Courts judicial databases.
2. While we use reasonable efforts to ensure that the information in our Reports is accurate and up-to-date at the time of generation, we do not warrant or guarantee the accuracy, completeness, reliability, or currentness of any information contained in any Report.
3. Source data is created and maintained by third-party government bodies. We have no control over the quality, timeliness, or completeness of that data. Errors, omissions, or delays in the source data may be reflected in our Reports.
4. Corporate records in China may not reflect the most recent changes. Registration updates, judicial proceedings, and enforcement actions may have occurred after the data was last synchronised.

3. Translation Accuracy

Reports are translated from Chinese source records into the language selected by the User. Translations are produced using a combination of curated dictionaries and machine translation services (DeepL and Google Translate). While we strive for translation accuracy:

• Machine-translated text may contain errors, ambiguities, or inaccuracies.
• Legal and technical terminology may not have precise equivalents in the target language.
• Proper nouns (company names, personal names, place names) are transliterated and may vary from commonly used English equivalents.
• In the event of any discrepancy between the translated Report and the original Chinese source records, the original Chinese records shall prevail.

4. No Professional Advice

The information in our Reports should not be used as a substitute for professional advice from qualified legal, financial, accounting, or compliance professionals. Users should independently verify all material information and seek appropriate professional counsel before making any business, investment, or legal decisions based on information contained in any Report.

5. No Endorsement or Recommendation

The inclusion of any company in a Report, or the absence of adverse findings, does not constitute an endorsement, recommendation, or opinion by ChinaCheck or Galaxy Digital Technology Limited regarding the creditworthiness, reliability, or trustworthiness of that company. A clean report does not guarantee the absence of risk.

6. Data Availability

Reports are organised into data categories (sections) that correspond to specific types of public records. The availability of data in each section depends entirely on whether the subject company has corresponding records in the relevant government databases. Many sections may legitimately contain no data.

For example, a newly established company may have no litigation history, no equity pledges, no intellectual property filings, and no administrative penalties. In such cases, a Company Risk Report or Due Diligence Report may contain significantly fewer populated sections than expected, and its content may closely resemble that of a basic Company Information Report.

The price difference between report tiers reflects the broader scope of data categories queried and analysed, not a guaranteed volume of results. The confirmation that no adverse records exist in risk-related categories (e.g., lawsuits, enforcement actions, dishonest debtor listings) is itself a substantive and valuable due diligence finding. Empty sections should be interpreted as “no public records found” rather than “data not checked.”

7. Report Validity and Timeliness

Each Report is a point-in-time snapshot of Source Data available at the moment of generation. The stated validity of 90 days from the date of issue is a recommended reference period — it indicates the timeframe within which we consider the Report reasonably reliable for reference purposes. It does not constitute a warranty or guarantee that the underlying corporate data, judicial records, or regulatory status of the subject company has remained unchanged during that period.

Chinese corporate records may be updated by government authorities at any time. Changes in registration status, legal proceedings, enforcement actions, shareholding structures, or other material facts may occur without notice and will not be reflected in a previously generated Report. Users relying on a Report for transaction-critical or time-sensitive decisions should obtain a fresh Report to ensure they are acting on the most current information available.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Company, its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or in connection with the use of, or reliance on, any information contained in any Report or on the Platform.
• This limitation applies regardless of the cause of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
• In no event shall our total aggregate liability exceed the price paid by you for the specific Report giving rise to the claim.

9. No Warranty

All Reports and information are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

10. User Responsibility

By purchasing and using a Report, the User acknowledges and agrees that:

• They have read and understood this Disclaimer.
• They accept full responsibility for how they use the information contained in the Report.
• They will not hold the Company liable for any decisions made or actions taken based on the Report.
• They will comply with all applicable laws and regulations when using the Report, including data protection and anti-money laundering regulations in their jurisdiction.

11. Regulatory Compliance

ChinaCheck is not a licensed credit reporting agency, financial institution, or regulated legal services provider. Reports are not credit reports, credit scores, or regulated financial products. Users are responsible for ensuring that their use of Reports complies with all applicable regulations in their jurisdiction.

12. Third-Party Data

Where Reports contain data sourced from or processed by third-party services (including translation APIs and government databases), the Company disclaims any liability for errors or inaccuracies introduced by those third parties. The Company’s obligations are limited to exercising reasonable care in selecting and integrating such services.

13. Governing Law

This Disclaimer shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with this Disclaimer shall be submitted to the exclusive jurisdiction of the courts of Hong Kong SAR.
